Charles Jaffe is the Founder and President
of Jaffe Finance Company, LLC. Jaffe Finance was established
in 1998 as a specialized asset-based finance and leasing company.
Jaffe Finance is focused on professionals such as physicians,
dentists, attorneys and accountants. The company’s expertise
lies in funding equipment, practice acquisition and reducing
financing costs. |

| Mr. Jaffe worked for over ten years in asset-based
finance at Investec Group where he was Senior Manager for New
Business. Investec is an international, specialist banking group
that provides a range of financial products and services to
a niche client base in three principal markets, the United Kingdom,
South Africa and Australia. Investec is listed on the London
and Johannesburg Stock Exchanges. He obtained a Bachelor of
Social Science Degree from the University of Cape Town in 1984;
and a Bachelor of Commerce (with Honors) from the University
of Witwatersrand in 1986. Mr. Jaffe is also a founder of the
La Jolla-based charity, ChaiSouthAfrica, which supports residential
homes in South Africa for the aged, physically & mentally
handicapped and for children at risk. |

Gershon Jaffe is a Certified Public Accountant and Chief
Financial Officer of Jaffe Finance Company, LLC. He spent
19 years at Trizec Properties, Inc., a New York Stock Exchange
traded real estate investment trust that is one of the largest
commercial property investment companies in the United States
with a high-quality portfolio of 52 office properties totaling
approximately 37 million square feet concentrated in seven
major cities. |

| He joined Trizec’s shopping center division
in 1986, and was progressively promoted to Senior Director of
Financial Reporting. His financial responsibilities, and the
staff he oversaw, included preparation of financial statements
in accordance with US and International GAAP for the real estate
portfolio valued in excess of $3.0 billion; and liaison with
external auditors. His responsibilities extended to the financial
operations of the trust’s unlisted management company
as well. Prior to joining Trizec, he spent six years in public
accounting as Audit Manager for a diversified base of clients
in real estate development and manufacturing. Mr. Jaffe is a
Member of the American Institute of Certified Public Accountants,
and the California Society of Certified Public Accountants.

Selwyn Singer is Chief Executive Officer of Cape Structured Funding, LLC, an affiliate of Jaffe Finance that provides equipment leasing finance outside the professional market serviced by Jaffe Finance.
Mr Singer is an experienced investment banker with a track
record in capital formation, IPO implementation, financial information systems,
investor relations, mergers &

acquisitions, corporate
development and SEC compliance. He has spent over 15 years
in corporate finance and mergers and acquisitions with companies
such as Bear Stearns and Central Merchant Bank.
Prior to investment banking, Mr. Singer spent three years
at Ernst & Young as an Accounting and Auditing Supervisor.
He has a Bachelors in Commerce and an M.B.A. degree from the University of Cape Town and a Masters in Company Law from the University of the Witwatersrand. Mr. Singer is a Chartered Accountant (SA) and an International Member of The New York State Society of CPA's. |
